Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of services provided by Young Business Systems VA LLC (“YBSVA,” “we,” “us,” or “our”). By engaging our services or using our website, you agree to these Terms.

Overview

YBSVA provides digital infrastructure services for small businesses, including:

  • Account setup and ownership structuring

  • Google Business Profile setup and optimization

  • Website design and development

  • Lead capture and follow-up systems

All services are delivered under a fixed-scope, project-based model unless otherwise stated in writing.

Fixed-Scope Services

  • Each project is defined by a clear scope of work

  • Work is limited to agreed deliverables

  • Requests outside the defined scope may require a new agreement or additional fees

YBSVA does not operate as an ongoing marketing agency or retainer service unless explicitly stated.

Ownership & Control

YBSVA operates on an owner-first model:

  • You retain ownership of all business assets, including:

    • Domains

    • Google accounts

    • Websites

    • Business listings

    • Digital systems created on your behalf

  • YBSVA’s role is to:

    implement, configure, and transfer control—not retain it

  • Upon completion and final payment:

    • Full access to all systems is provided

    • Any included documentation or handoff materials are delivered

Client Responsibilities

To ensure successful delivery, you agree to:

  • Provide accurate and complete business information

  • Respond to requests in a timely manner

  • Complete required third-party verifications (e.g., Google Business Profile verification)

  • Maintain access to accounts required for implementation

Delays or failure to provide required information may impact timelines and delivery.

Implementation & Scope Confirmation

Any implementation work following a Business Readiness Review is subject to:

  • scope confirmation before work begins

  • agreed pricing and timeline

  • written confirmation of deliverables

 

We do not perform open-ended or undefined work.

Fees & Payment

  • Fees are based on the agreed project scope and are communicated prior to work beginning

  • Payment may be required in advance, in phases, or upon completion depending on the engagement

All payments are non-refundable once work has commenced

YBSVA reserves the right to:

  • Pause or delay work if payment is not received as agreed

  • Withhold delivery of final assets, account access, or transfer of ownership until all outstanding balances are paid

In the event of non-payment:

  • YBSVA may suspend access to any systems, websites, or assets under its control until payment is resolved

  • Client remains responsible for all fees incurred

No Performance Guarantees

YBSVA does not guarantee specific outcomes, including:

  • Search engine rankings

  • Lead volume or conversion rates

  • Revenue or business growth

We build and optimize infrastructure. Results depend on factors outside our control, including market conditions, competition, and client implementation.

Third-Party Platforms

Our services often involve third-party platforms (e.g., Google, Wix, hosting providers).

  • You agree to comply with their terms and policies

  • YBSVA is not responsible for decisions, suspensions, or changes made by third-party platforms

  • We cannot guarantee approval, verification, or continued access on third-party systems

Google Business Profile Disclaimer

  • Final verification of a Google Business Profile must be completed by the business owner

  • Approval is determined solely by Google

  • YBSVA is not responsible for verification failures, suspensions, or policy enforcement actions

Limitation of Liability

To the maximum extent permitted by law:

  • YBSVA shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of business, loss of data, or loss of opportunity

  • YBSVA provides implementation services only and is not responsible for business performance, platform behavior, or third-party decisions

  • Total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim

Termination

Either party may terminate the engagement at any time.

In the event of termination:

  • The client is responsible for payment of all work completed up to the termination date

  • Any unpaid balances must be settled before delivery of completed work or transfer of assets

If termination occurs due to client inactivity, delay, or failure to provide required information:

  • YBSVA reserves the right to close the project after a reasonable period of inactivity

  • Any future reactivation may require a new agreement or additional fees

Intellectual Property

  • Upon full payment, all completed deliverables become the client’s property

  • YBSVA retains the right to display non-sensitive work for portfolio or marketing purposes unless otherwise agreed

Changes to Terms

We may update these Terms from time to time. Continued use of our services constitutes acceptance of any updates.

Governing Law & Venue

These Terms and any disputes arising out of or related to YBSVA’s services shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

Any legal action or proceeding shall be brought exclusively in the state or federal courts located within the Commonwealth of Virginia, and the parties hereby consent to the personal jurisdiction and venue of such courts.
